- Balu (Arshad Warsi) is a slick but flat-broke cabdriver whose life is changed forever when he picks up an unhappy young rich man named Rahul (Chandrachur Singh) at the airport one day. Bored with his privileged but empty life, Rahul convinces Balu to switch places with him. Rahul moves into Balu's home, where he falls hard for Balu's sister, Parvati (Priya Gill). - P.V. Shastri lives in a small town in Southern India with his wife, son, Ballu, and daughter, Paro. He finds out that Paro is in love with a young man named Rahul Mehta, and asks her to bring him home to meet his family. Rahul does come to meet him, but shocks the family by telling them that he is not a Hindu but a Christian - as his deceased mother and father were Hindu and Christian respectively. Shastri refuses to permit him to marry Paro, but when Paro insists that she will marry Rahul and no one else, he consults various pundits, and puts forth various conditions on Rahul, one of them being that he change his religion to Hinduism, to which Rahul agrees. He also asks Rahul to look for a suitable job, as the marriage is to take place within a month. Thrilled, Rahul goes around looking for a job. What Shastri does not know is that Rahul is the only heir of multi-millionaire business tycoon Shambunath Mehta, who will never permit Rahul to marry into a poor family such as that of Shastri. - Two boys are born on the same day in 1974. One is Rahul Mehta (Chandrachur Singh), born with a silver spoon in his mouth to a rich family in England. Rahul never received any love or time from his family and yearns to be a normal boy. He has all the privileges that money can buy, and yet feels unsatisfied with his life. Another is Baalu (Arshad Warsi), born in a middle-class South Indian Brahmin family somewhere in Mumbai. Baalu is a rebel and he never got along with his father. One day, in a fit of rage, Baalu cut off his hair lock, the symbol of his caste and heritage.
Both grow up until they are destined to exchange places on their 21st birthday. Mrs Shashtri (Sulbha Arya) is very protective of Baalu from his father PV Shashtri, even though he eats non-veg, smokes and drinks, completely against the tenets of his caste. Baalu has been kicked out by his father but comes to meet his mother and sister Paro. Baalu drives a taxi and has a lot of debt on him, due to which he is constantly hiding from his creditors. Baalu wants Rs 20,000 from his father to shift to Dubai, but he refuses.
Rahul Mehta's parents died when he was young, and he lives with his grandfather Shambhunath Mehta (Pran). He wants to visit India to see his parents' graves though his grandfather doesn't want him to go. He is afraid Rahul may fall in love and ruin himself like his parents did (Shambhunath's daughter visited India, fell in love and never returned). Also, Shambhunath says that their India factory is the only one running at a perennial loss. With much persuasion, he comes to India and manages to escape his guardians, Ram Singh (Bal Dhuri) and detective Mirchandani (Manoj Pahwa), at the airport and catches a taxi.
The driver of the taxi is none other than Baalu who, not knowing Rahul's true identity, keeps cursing the rich guy for being born on the same day him and enjoying the wealthy life. Later, Rahul discloses his identity and Baalu feels ashamed, and both become good friends. Rahul does not want to go back to his wealth-ridden world, so he asks Baalu to take his place and to let him take Baalu's place. So, Rahul becomes the taxi driver and informs Ram Singh that someone will be coming to them in his place (as nobody in India knows what Rahul looks like). Baalu reaches the hotel, and Ram Singh has a tough time grooming Baalu to behave like a rich guy.
Rahul goes to Baalu's place where he is introduced to his parents as Baalu's friend, who has come to visit him from Dubai. Rahul finds Baalu's sister Paro (Priya Gill) and falls in love with her. Rahul tells Baalu that he is in love with someone but doesn't specify that it is Paro. Baalu encourages Rahul to go for it and convey his feelings to the woman of his dreams.
Baalu, while attending a meeting with one V.P. Mathur (Suresh Malhotra), who is the caretaker of Mehta Industries in India, meets Mathur's daughter Pooja (Simran) and falls in love with her. Baalu and Rahul meet frequently, and Baalu introduces Pooja to him.
Mehta industries is in shambles because of corrupt managers. Mathur puts a proposal to sell the company land and use the proceeds of Rs 20 Crores to pay off the debt accumulated on the company. Unknown to anyone, Mathur was under pressure from a local mafia don to get Rahul's signature on a property transfer deed, so that don would take over the land of the factory and build a real estate project on it.
The union leader Dattabhau (A.K. Hangal) explains this to Baalu (disguised as Rahul). Dattabhau says that the factory always made a profit, but the funds were embezzled by Mathur's, and they always gave a wrong picture to Shambhunath. Dattabhau says that the land being sold for Rs 20 Crores is worth over Rs 100 Crores. Baalu takes care of this and reopens the company, declaring equal profit sharing among laborers. Rahul guides Baalu in setting up machinery at the factory and to get it operational.
Paro's father fixes her wedding to an Iyer family and is happy. The boy's family is coming in 2-3 days to meet Paro. When Paro finds out, she is distraught and runs to find Rahul. She finds Rahul in a cemetery, where Rahul is praying to at his parent's grave. Paro realizes that Rahul is a Christian. At the Shastri's place, Paro's father P.V. Shastri (K.D. Chandran) comes to know of Rahul and Paro's love affair and is enraged since Rahul is a Christian. Baalu comes into the picture and pacifies the situation. Paro says that she loves Rahul but will not marry her without her father's permission. Rahul decides to turn into a Brahmin so that he can marry Paro.
Rahul's grandfather in England learns what is happening with Rahul and comes to India to control the situation. Shambhunath wants Rahul to return to London with him, without marrying Paro, but Rahul refuses. Since the control of Mehta Industries has gone out of the Mathur's hands, they decide to kill Rahul and Shambhunath. Shambhunath is abducted by goons hired by Mathurs, but Ram Singh sees and informs Rahul.
Baalu is also abducted by the mafia don who wants Shambhunath to hand over the factory land to him. Baalu signs over the land to the don, as he knows that his sign has no value. That's when Rahul calls and the phone is picked up by the don. The don realizes that Baalu is not Shambhunath's grandson. Before the don can kill Shambhunath, Rahul attacks and both Rahul and Baalu save Shambhunath from the mafia don. Shambhunath finally accepts Rahul's choice and lets him remain in India with Paro.
